Welcome to Invoice Genie. By downloading, installing, or using the Invoice Genie application (“App”), web portal (“Portal”), or any related services (collectively, the “Service”), you (“User,” “you,” or “your”) agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully before using the Service.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with any part of these Terms, you must discontinue use of the Service immediately.

1. Description of the Service

Invoice Genie is a business management platform available on iOS, Android, and via a web portal. The Service allows small business owners and independent contractors to:

  • Create, send, and manage professional invoices and estimates
  • Manage a client database
  • Track time entries and billable hours
  • Create and manage purchase orders
  • Accept payments through supported third-party payment processors (Square, PayPal, and Stripe)
  • Sync financial data with QuickBooks Online
  • Manage multiple business profiles under a single account
  • Receive push notifications related to account activity
  • Store and manage business assets such as logos (hosted on US-based cloud storage)
  • Access the Service in multiple languages

Invoice Genie is designed for legitimate business use only. It is not intended for personal, family, or household purposes.

2. Account Registration

You must be at least 18 years of age to create an account and use the Service. When registering, you agree to provide accurate, complete, and current information. You are responsible for maintaining the accuracy of your account information at all times.

You are solely responsible for maintaining the confidentiality of your login credentials (email address and password). You agree not to share your credentials with any unauthorized person. Any activity that occurs under your account is your responsibility, whether or not authorized by you.

Invoice Genie offers optional two-factor authentication (2FA) to enhance account security. You are strongly encouraged to enable this feature.

3. Subscriptions and Billing

Invoice Genie offers a permanent free limited tier and one paid subscription plan. The free limited tier is available indefinitely and does not expire or automatically convert into a paid subscription. Upgrading to a paid plan requires you to actively choose and purchase a subscription.

Free Tier: The free tier allows you to create up to three (25) documents (invoices or estimates) in total. The following features are restricted to paid subscribers only:

  • Payment method integrations (Square, PayPal, Stripe)
  • QuickBooks Online sync
  • Time tracking
  • Receipts
  • Purchase orders

Paid Subscriptions: Paid plans unlock all features of the Service. Subscription details (pricing, term, and included features) are presented at the time of purchase within the App or via the applicable App Marketplace (Apple App Store or Google Play Store).

Subscription Term: Paid subscription is offered on a yearly (annual) recurring basis and will automatically renew at the end of each billing year unless cancelled prior to the renewal date.

Cancellation: You may cancel your subscription at any time through the App Marketplace where you purchased it (Apple App Store or Google Play Store). Cancellation takes effect at the end of the current billing period. Upon cancellation, your account will revert to the free tier. Invoice Genie does not process subscription refunds for partial billing periods except where required by applicable law.

Price Changes: Invoice Genie reserves the right to change subscription pricing. You will be notified in advance of any price changes. Continued use of the paid Service after a price change constitutes your acceptance of the new pricing.

4. Payment Processing

Invoice Genie does not directly process payments between you and your clients. All payment processing is performed by independent third-party payment processors, which may include Square, PayPal, and Stripe (“Payment Processors”). By enabling payment collection through the Service, you agree to the applicable terms of service of the relevant Payment Processor.

Invoice Genie has no control over and assumes no liability for:

  • The availability or reliability of third-party payment processors
  • Disputes, chargebacks, refunds, or failed transactions
  • Fees charged by Payment Processors
  • Any actions or omissions by Payment Processors

Any dispute regarding a payment transaction must be resolved directly between you, your client, and the relevant Payment Processor.

5. QuickBooks Integration

Invoice Genie offers optional integration with QuickBooks Online (“QuickBooks”), a product of Intuit Inc. By enabling QuickBooks sync, you authorize Invoice Genie to exchange invoice, client, and financial data with your QuickBooks account on your behalf.

Invoice Genie is not affiliated with or endorsed by Intuit Inc. Your use of QuickBooks is governed by Intuit’s own terms of service and privacy policy. Invoice Genie is not responsible for any errors, data loss, or service interruptions related to the QuickBooks integration.

You may disconnect the QuickBooks integration at any time from within Business Settings → QuickBooks.

6. Data Storage and Retention

Your business data is stored securely on our servers. The following data retention policies apply to items moved to the Trash within the Service:

  • Invoices, Estimates, and Clients: Items moved to Trash are retained for 90 days before being permanently deleted. You may restore these items from Trash at any time within the 90-day period.
  • All other items (including time entries, purchase orders, and product catalog items): Items deleted from these categories are permanently and immediately deleted and cannot be recovered.

Invoice Genie is not an archiving or backup service. You are solely responsible for maintaining your own backups of critical business data. Invoice Genie is not liable for any loss of data resulting from accidental deletion, account termination, or service interruption. You are strongly advised to regularly export your data using the built-in export feature, accessible from Administration → Export My Data.

Business logo images and other file assets are stored using US-based cloud storage infrastructure. These files are accessible via secure, time-limited URLs generated on demand.

7. Data Security and Encryption

Invoice Genie takes reasonable technical and organizational measures to protect your data. Sensitive business data is encrypted in transit (using TLS) and at rest where applicable. Field-level encryption is applied to certain sensitive data fields within the database.

While Invoice Genie implements industry-standard security practices, no system can guarantee absolute security. You acknowledge that you transmit data at your own risk. Invoice Genie is not liable for any unauthorized access, data breach, or data loss that occurs despite our reasonable security measures.

You are responsible for ensuring that any device used to access the Service is kept secure and that your login credentials are not disclosed to unauthorized parties.

8. Push Notifications

Invoice Genie may send push notifications to your mobile device related to your account activity, such as invoice views, payment updates, and announcements. Push notifications are opt-in and can be enabled or disabled through your device’s notification settings or within the App at any time.

By enabling push notifications, you consent to receive these communications electronically. Disabling push notifications will not affect your ability to use the core features of the Service.

9. Your Data and Content

As between you and Invoice Genie, you retain all ownership rights to the data, information, and content you submit to the Service (“User Data”), including client information, invoice content, and business details.

By using the Service, you grant Invoice Genie a limited, non-exclusive, royalty-free license to store, process, and transmit your User Data solely for the purpose of providing and improving the Service. Invoice Genie will not sell your User Data to third parties.

Invoice Genie may use aggregated and anonymized data derived from usage of the Service for internal analytics, product improvement, and reporting purposes. This aggregated data will not identify you personally.

You represent and warrant that you have all necessary rights to submit the data you provide to the Service, and that your User Data does not violate any applicable laws or the rights of any third party.

9A. User-Uploaded Content — Photo & File Disclaimer

⚠ IMPORTANT NOTICE — PLEASE READ CAREFULLY

Invoice Genie allows users to upload images and files as part of the Service, including but not limited to business logos, receipt photos, and other business-related assets (“Uploaded Content”).

By uploading any content to the Service, you represent and warrant that:

  1. You own or have all necessary rights, licenses, and permissions to upload, store, and use the content.
  2. The content does not violate any local, state, federal, or international law or regulation, including laws governing obscenity, child exploitation, intellectual property, privacy, and defamation.

  3. The content does not contain any of the following:

    • Child sexual abuse material (CSAM) or any content depicting minors in a sexual manner — uploading such material is a federal crime and will be reported to the National Center for Missing & Exploited Children (NCMEC) and relevant law enforcement authorities immediately.
    • Non-consensual intimate images or “revenge porn.”
    • Content that incites violence, terrorism, or hatred against any individual or group.
    • Counterfeit, fraudulent, or illegally obtained materials.
    • Content that infringes the intellectual property rights of any third party.
    • Malware, viruses, or any other harmful software or code embedded within files.
  4. You will not use the file upload feature to store, distribute, or transmit any content that is illegal under applicable law.

CONSEQUENCES OF VIOLATION:

  • Invoice Genie reserves the right to remove any Uploaded Content that violates these Terms at any time and without prior notice.
  • Your account will be immediately and permanently terminated without refund.
  • Invoice Genie will report illegal content (including CSAM) to the appropriate law enforcement authorities and cooperate fully with any resulting investigation.
  • Invoice Genie reserves the right to pursue all available legal remedies against violators.

Invoice Genie assumes no liability for Uploaded Content and expressly disclaims any responsibility for illegal, infringing, or otherwise harmful content submitted by users.

10. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable local, state, federal, or international law or regulation
  • Submit false, misleading, or fraudulent invoices or business information
  • Engage in money laundering, tax evasion, or any other financial crime
  • Transmit spam, unsolicited communications, or malicious code
  • Attempt to gain unauthorized access to other users’ accounts or data
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to build a competing product or service
  • Submit protected health information (PHI) regulated by HIPAA or similar laws
  • Submit government-issued identification numbers, financial account numbers, or other highly sensitive personal data outside of fields specifically designated for that purpose
  • Use the Service for any high-risk activity where failure could result in injury, death, or significant property damage

Invoice Genie reserves the right to suspend or terminate your account immediately and without prior notice if you are found to be in violation of these prohibitions.

11. Third-Party Services

The Service may integrate with or link to third-party platforms and services, including but not limited to payment processors (Square, PayPal, Stripe), QuickBooks Online, Apple App Store, and Google Play Store. These third-party services are governed by their own terms and privacy policies.

Invoice Genie does not control, endorse, or assume responsibility for any third-party services. Your use of third-party integrations is at your own risk. Invoice Genie is not liable for any damages or losses arising from your use of third-party services.

12. Intellectual Property

Invoice Genie and its licensors retain all right, title, and interest in and to the Service, including all software, design, branding, trademarks, logos, and underlying technology (“Invoice Genie IP”). Nothing in these Terms grants you any ownership rights in the Invoice Genie IP.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes in accordance with these Terms.

Any feedback, suggestions, or ideas you submit to Invoice Genie regarding the Service may be used by Invoice Genie without restriction and without any obligation to compensate you.

13. Termination

By You: You may terminate your account at any time by cancelling your subscription through the applicable App Marketplace and ceasing use of the Service. You may permanently delete your organization and all associated data directly within the App by navigating to Administration → Delete Organization. If you require additional assistance, contact us at support@myinvoicegenie.com.

By Invoice Genie: Invoice Genie may suspend or terminate your access to the Service at any time, with or without cause, including for breach of these Terms. In cases of material breach, we may terminate immediately and without prior notice.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. Invoice Genie may delete your User Data in accordance with our data retention policies. Sections of these Terms that by their nature should survive termination (including Sections 9, 12, 14, 15, and 16) will survive.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. INVOICE GENIE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

INVOICE GENIE DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT ALL TIMES
  • THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE
  • THE SERVICE WILL MEET YOUR SPECIFIC BUSINESS OR ACCOUNTING REQUIREMENTS
  • ANY ERRORS OR DEFECTS IN THE SERVICE WILL BE CORRECTED

THE SERVICE IS NOT INTENDED TO PROVIDE LEGAL, ACCOUNTING, TAX, OR FINANCIAL ADVICE. YOU SHOULD CONSULT A QUALIFIED PROFESSIONAL FOR SUCH MATTERS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL INVOICE GENIE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
  • COSTS OF SUBSTITUTE SERVICES

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF INVOICE GENIE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, INVOICE GENIE’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO INVOICE GENIE FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS (US $50.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY ONLY TO THE FULLEST EXTENT PERMITTED BY LAW.

16. Indemnification

You agree to indemnify, defend, and hold harmless Invoice Genie and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service in violation of these Terms
  • Your User Data or the content of any invoices, estimates, or communications sent through the Service
  • Your violation of any applicable law or the rights of any third party
  • Any dispute between you and your clients or third parties in connection with your use of the Service

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles.

Informal Resolution: Before initiating any formal legal action, you agree to contact Invoice Genie at support@myinvoicegenie.com and attempt to resolve the dispute informally. Most concerns can be resolved quickly this way.

Formal Disputes: If informal resolution fails after thirty (30) days, any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Ohio, and you consent to personal jurisdiction in those courts.

Class Action Waiver: Any dispute must be brought on an individual basis. You waive any right to participate in a class action, class arbitration, or any other representative proceeding against Invoice Genie.

18. Modifications to These Terms

Invoice Genie reserves the right to modify these Terms at any time. When changes are made, we will update the “Effective Date” at the top of this page and, for material changes, notify you via email or an in-app notification.

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

19. Electronic Communications

By creating an account and using the Service, you consent to receive communications from Invoice Genie electronically, including via email, push notifications, and in-app messages. These electronic communications satisfy any legal requirement that communications be in writing.

You are responsible for keeping your contact information (including email address) current in your account settings.

20. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at myinvoicegenie.com/privacy-policy to understand how we collect, use, and protect your information.

21. Multi-Language Support

Invoice Genie provides the Service interface in multiple languages as a convenience to users. Invoice Genie does not warrant the accuracy or completeness of any translated content. In the event of any conflict or inconsistency between the English version of these Terms and any translated version, the English version shall prevail.

22. Force Majeure

Invoice Genie shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, internet or utility outages, or failures of third-party service providers.

23. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

These Terms, together with the Privacy Policy and any other policies incorporated herein, constitute the entire agreement between you and Invoice Genie with respect to the Service and supersede all prior agreements and understandings.

24. Apple App Store and Google Play Store

If you download the Invoice Genie iOS app from Apple’s App Store, you acknowledge that: (i) these Terms are between you and Invoice Genie only, not with Apple; (ii) Apple has no obligation to provide maintenance or support for the App; (iii) in the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if any), but Apple has no other warranty obligation with respect to the App; and (iv) Apple is not responsible for addressing any claims you have relating to the App.

If you download the Invoice Genie Android app from the Google Play Store, you acknowledge that these Terms are between you and Invoice Genie only, and that Google has no obligation or liability with respect to the App.
